hc1.com Corporation, its affiliates and subsidiaries (“hc1.com”, “we”, “our”) operate a number of web sites, including, but not limited to, the following web sites: www.bostechcorp.com, www.hc1.com and www.chainbuilder.com (collectively, the “Site”). The Site is intended to provide online access to information about hc1.com and the products, services, and opportunities we provide. In addition, the www.hc1.com web site provides a portal through which paying customers may access the hc1.com platform (the “Platform”) and the service offerings provided therein. The use of the Site is governed by the Terms (defined below). The terms of use of the Platform is governed by a separate agreement entered into by and between hc1.com and each customer of the Platform, at the time the customer purchases its subscription to access and use the Platform.
Your use of any part of the Site or any of our products, software, services (collectively referred to as the “Services,” but excluding any software, services or products provided to you by hc1.com under a separate written agreement), you agree to abide by each of the terms and conditions set forth herein (“Terms of Use”). The terms and conditions contained herein set forth the minimum, baseline standards expected of users of the Services. Certain additional terms and conditions to particular Services may also apply (“Additional Terms”). Where Additional Terms apply, these will be accessible for you to read either within, or through your use of, that particular Service, and the Additional Terms, together with these Terms of Use, will become part of your agreement with us if you use those Services. If there is any contradiction between what the Additional Terms say and what the Terms of Use say, then the Additional Terms shall take precedence in relation to that particular Service. These Terms of Use, together with any Additional Terms, are referred to as the “Terms”.

1. Use of Services
You may use the Services and the information, writings, images and/or other works that you see, hear or otherwise experience while using the Services (collectively, the “Content”) solely for your non-commercial, personal purposes and/or to learn about our Services. No right, title or interest in any Content is transferred to you, whether as a result of downloading such Content or otherwise. hc1.com reserves complete title and full intellectual property rights in all Content. Except as expressly authorized by the Terms, you may not use, alter, copy, distribute, transmit, or derive another work from any Content obtained from the Services, except as expressly permitted by the Terms.

The Site and the Content are protected by U.S. and/or foreign copyright laws, and belong to hc1.com or its partners, affiliates, contributors or third parties. If you would like to link to our Site, you must follow our link guidelines. Unless specifically authorized by hc1.com, you may not connect “deep links” to our Site, i.e, create links to our Site that bypass the home page or other parts of our Site. You may not mirror or frame the home page or any other pages of our Site on any other web site or web page.
6. Downloading Files
We cannot and do not guarantee or warrant that files available for downloading while using the Services will be free of infection by software viruses or other harmful computer code, files or programs.
7. Software
Any software available for download via the Services is the copyrighted work of hc1.com and/or its licensors. Use of such software is governed by the terms of the subscription or license agreement that accompanies or is included with the software. Downloading, installing, and/or using any such software indicates your acceptance of the terms of the applicable subscription or license agreement.
8. Disclaimer of Warranties
HC1.COM MAKES NO EXPRESS OR IMPLIED WARRANTIES, REPRESENTATIONS OR ENDORSEMENTS WHATSOEVER WITH RESPECT TO THE SERVICES OR THE CONTENT. HC1.COM EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, WITH REGARD TO THE SERVICES, THE CONTENT. HC1.COM DOES NOT WARRANT THAT THE FUNCTIONS PERFORMED BY THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, OR THAT DEFECTS IN THE SERVICES WILL BE CORRECTED. HC1.COM DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF THE CONTENT OR THAT ANY ERRORS IN THE CONTENT WILL BE CORRECTED. THE SERVICES AND THE CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
9. Limitation of Liability
IN NO EVENT WILL HC1.COM BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO ANY DIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR OTHER INDIRECT DAMAGES ARISING OUT OF (I) THE USE OF OR INABILITY TO USE THE SERVICES OR THE CONTENT, (II) ANY TRANSACTION CONDUCTED THROUGH OR FACILITATED BY THE SERVICES; (III) ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES IN THE SERVICES AND/OR THE CONTENT, (IV) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA, OR (V) ANY OTHER MATTER RELATING TO THE SERVICES OR THE CONTENT, EVEN IF HC1.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IF YOU ARE DISSATISFIED WITH THE SERVICES, THE CONTENT, OR WITH THE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SERVICES.
BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH STATES, OUR LIABILITY IS LIMITED AND WARRANTIES ARE EXCLUDED TO THE GREATEST EXTENT PERMITTED BY LAW, BUT SHALL, IN NO EVENT, EXCEED $100.00.
10. Indemnification
You are personally responsible for your behavior in using the Services. You agree to indemnify, defend and hold harmless hc1.com, its parent companies, subsidiaries, affiliated companies, joint venturers, business partners, licensors, employees, officers, directors, agents, and any third-party information providers to the Services from and against all claims, losses, expenses, damages and costs (including, but not limited to, direct, incidental, consequential, exemplary and indirect damages), and reasonable attorneys’ fees, resulting from or arising out of your use, misuse, or inability to use the Services or the Content, or any violation by you of the Terms.

12. User Conduct
You agree to use the Services and the Content only for lawful purposes. You agree not to take any action that might compromise the security of the Services, render the Services or the Content inaccessible to others or otherwise cause damage to the Services or the Content, or the servers or networks connected to the Services. You agree not to add to, subtract from, or otherwise modify the Content, or to attempt to access any Content that is not intended for you. You agree not to use the Services or the Content in any manner that might interfere with the rights of third parties. You agree not to use the Services to impersonate any person or entity or otherwise misrepresent your affiliation with a person or entity. 13. Unsolicited Idea Submission Policy
hc1.com or any of its employees do not accept or consider unsolicited ideas, including ideas for new advertising campaigns, marketing strategies, new or improved products, technologies, services, processes, materials, or new product names. We have found this policy necessary in order to avoid misunderstandings should hc1.com’s business activities bear coincidental similarities with one or more of the thousands of unsolicited ideas offered to us. Please do not send your unsolicited ideas to hc1.com or anyone at hc1.com. If, in spite of our request that you not send us your ideas, you still send them, then regardless of what your posting, email, letter, or other transmission may say, (1) your idea will automatically become the property of hc1.com, without any compensation to you; (2) hc1.com will have no obligation to return your idea to you or respond to you in any way; (3) hc1.com will have no obligation to keep your idea confidential; and (4) hc1.com may use your idea for any purpose whatsoever, including giving your idea to others.
However, hc1.com does welcome feedback regarding many areas of hc1.com’s existing businesses that will help satisfy customer’s needs, and feedback can be provided through the many listed contact areas on the Site. Any feedback you provide shall be deemed a Submission under the terms in the User Supplied Information section below.
14. User Supplied Information
hc1.com does not want to receive confidential or proprietary information from you via the Services. You agree that any material, information or data you transmit to us or post while using the Services (each a “Submission” or collectively “Submissions”) will be considered non-confidential and non-proprietary. For all Submissions, (1) you guarantee to us that you have the legal right to post the Submission and that it will not violate any law or the rights of any person or entity, and (2) you give hc1.com the royalty-free, irrevocable, perpetual, worldwide right to use, copy, distribute, display, perform and create derivative works from the Submission, in any and all media, in any manner, in whole or in part, without any restriction or responsibilities to you. By submitting any Submission, you represent and warrant that: (a) you are at least 13 years old; (b) you own all rights in your Submission or you have acquired all necessary rights in your Submission; (c) your Submission does not infringe the copyright, trademark, patent, trade secret, or other intellectual property rights, privacy rights, or any other legal or moral rights of any third party; (d) any information contained in your Submission is not known by you to be false, inaccurate, or misleading; (e) your Submission does not violate any law (including, but not limited to, those governing export control, consumer protection, unfair competition, anti-discrimination, or false advertising); (f) your Submission is not, and may not reasonably be considered to be, defamatory, libelous, hateful, racially, ethnically, religiously, or otherwise biased or offensive, unlawfully threatening, or unlawfully harassing to any individual, partnership, or corporation, vulgar, pornographic, obscene, or invasive of another’s privacy; (g) your Submission does not incorporate materials from a third party web site, or addresses, email addresses, contact information, or phone numbers (other than your own); (h) your Submission does not contain any viruses, worms, spyware, adware, or other potentially damaging programs or files; and (i) your Submission does not contain or constitute any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation.
15. Password Security
You may need an account in order to use some of our Services. You may create your own account, or your account may be assigned to you by an administrator, such as your employer. If you are using an account assigned to you by an administrator, different or additional terms may apply and your administrator may be able to access or disable your account. You are responsible for maintaining the confidentiality of your account’s user identification and password information and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your password and account. If you learn of any unauthorized use of your password or account, please contact us immediately.
16. Termination
hc1.com reserves the right to terminate your access to your accounts and use of the Services and the Content if you fail to abide by the Terms.
17. General Provisions
The Terms constitutes the entire agreement of the parties with respect to the subject matter hereof. No waiver by hc1.com of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.
The Content may contain typographical errors or other errors or inaccuracies and may not be complete or current. hc1.com therefore reserves the right to correct any errors, inaccuracies or omissions and to change or update the Content at any time without prior notice. hc1.com does not, however, guarantee that any errors, inaccuracies or omissions will be corrected.
If it turns out that a particular Term is not enforceable, this will not affect any other Terms.
If any part of the Terms is determined by a court of competent jurisdiction to be invalid or unenforceable, it will not impact any other provision of the Terms, all of which will remain in full force and effect. Any and all disputes relating to the Terms, hc1.com’s Privacy Policy, your use of the Services or the Content are governed by, and will be interpreted in accordance with, the laws of the State of Indiana, without regard to any conflict of laws provisions. All disputes arising from or relating to the Terms or your use of the Services or the Content shall be brought in the Federal or State courts located in Marion County, Indiana, and you hereby irrevocably submit to the exclusive personal jurisdiction of such courts for such purpose.
